1. Acceptance of These Terms

These Terms of Use (the "Terms") are a binding agreement between you and Fong Shui Labs LLC ("Fong Shui Labs," "we," "us," or "our") governing your access to and use of the website located at fongshuilabs.com (the "Site").

BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY, WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE.

2. The Site Is Informational Only; Products Are Governed Separately

The Site is an informational and marketing website about our company and our products. The Site does not itself provide any product or service, does not require an account, and does not process payments or transactions.

Our products have their own terms. If you download, access, or use any product offered by Fong Shui Labs - including the Baby Ledger AI application and the GLP1cost.org website - your use of that product is governed by the separate terms of service and privacy policy applicable to that product, and not by these Terms. Nothing on the Site, and nothing in these Terms, modifies, supplements, or supersedes the terms applicable to any product. In the event of any conflict between these Terms and a product's own terms with respect to that product, the product's own terms control.

Information on the Site is provided for general informational purposes only. It does not constitute professional, financial, medical, legal, or other advice, and you should not rely on it as a substitute for advice from a qualified professional.

3. Permitted Use; License

Subject to your compliance with these Terms, Fong Shui Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial, informational purposes.

You agree that you will not, and will not permit any third party to:

• use the Site for any unlawful purpose or in violation of these Terms;
• copy, reproduce, distribute, republish, frame, mirror, or create derivative works from the Site or its content except as expressly permitted in Section 4;
• use any robot, spider, scraper, or other automated means to access the Site, or harvest or collect information about other users;
• attempt to gain unauthorized access to the Site, any server, or any system or network connected to the Site, or interfere with or disrupt the Site or its servers (including by introducing malware, launching a denial-of-service attack, or circumventing any security feature);
• reverse engineer, decompile, or disassemble any portion of the Site, except to the extent applicable law prohibits this restriction;
• remove, obscure, or alter any copyright, trademark, or other proprietary-rights notice on the Site; or
• use the Site in any manner that could damage, disable, overburden, or impair it, or that infringes or misappropriates the rights of any third party.

We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including any suspected violation of these Terms.

The Site and all of its content - including text, graphics, logos, images, designs, layout, and software - are owned by or licensed to Fong Shui Labs and are protected by United States and international copyright, trademark, and other intellectual-property laws. "Fong Shui Labs," "Baby Ledger AI," and our logos and product names are trademarks or service marks of Fong Shui Labs LLC. All rights not expressly granted in these Terms are reserved.

You may view and, for your own personal and non-commercial reference, print or download individual pages of the Site, provided you do not remove any proprietary notices and do not use the content in a way that suggests any association with or endorsement by Fong Shui Labs without our prior written permission. Any other use requires our prior written consent.

5. Third-Party Links and Platforms

The Site may contain links to third-party websites, applications, and platforms (including the Apple App Store and babyledgerai.com) that are not owned or controlled by Fong Shui Labs. We provide these links for convenience only. We do not endorse and are not responsible for the content, policies, or practices of any third-party website or platform, and your use of them is at your own risk and subject to their terms and policies.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FONG SHUI LABS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FONG SHUI LABS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FONG SHUI LABS MAKES NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE, AND ANY RELIANCE ON SUCH CONTENT IS AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FONG SHUI LABS LLC OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FONG SHUI LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FONG SHUI LABS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Fong Shui Labs LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

9. Governing Law and Forum

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of, and venue in, those courts. This Section does not apply to the extent applicable law gives you a non-waivable right to bring proceedings in another forum.

10. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the "Effective Date" above and post the updated Terms on this page. Material changes will be identified as such. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Site.

11. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fong Shui Labs regarding the Site and supersede any prior agreements regarding the Site. They do not govern any product, which is governed by its own terms.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that or any other provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Headings. Section headings are for convenience only and do not affect interpretation.
